Taxes in Hong Kong.

Hong Kong taxes on a territorial basis. Only profits that arise in Hong Kong are taxable. Everything else remains outside the scope of local taxation.

8,25%

Profits tax

On the first HKD 2 million of assessable profit the rate is 8.25%, above that 16.5%. Profits earned outside Hong Kong can be exempt under the offshore claim if the business is set up accordingly.

0%

VAT

Hong Kong levies no VAT, no sales tax and no goods and services tax. There is no registration obligation.

0%

Withholding tax on dividends

Profit distributions to shareholders abroad leave the company without any deduction at source. Dividends received are likewise untaxed.

0%

Capital gains tax

Gains from the sale of shareholdings, securities or real estate held as investments are not subject to tax in Hong Kong.

0%

Inheritance tax

Hong Kong abolished estate duty in 2006. Shares in the company can be passed on without inheritance tax.

The offshore claim has to be earned Whether your profits remain untaxed in Hong Kong depends on where the business is actually conducted: where contracts are concluded, where clients are served and where decisions are taken. The tax authority examines this and expects the documentation to be watertight. We build the structure so that it holds up, and we review your personal tax residence at the same time.

Hong Kong as a business hub.

Territorial taxation

Only profits generated in Hong Kong are taxed. Anyone doing business abroad can be exempt from local profits tax with the right setup.

Frequently asked questions.

The most important questions about forming a company in Hong Kong, answered.

What do I need to form a Hong Kong Limited?

A valid passport, proof of your address, a company name and a description of your planned business activity. Registered office and company secretary in Hong Kong are provided by us.

Is there a minimum capital?

No. In practice the company is incorporated with a share capital of HKD 10,000, which does not have to be paid up in full.

Do I have to travel to Hong Kong?

Not for the formation. For the account, some banks require a personal appointment, others accept a video call. We choose the bank to match your situation.

When are profits tax-free in Hong Kong?

If profits are earned outside Hong Kong, they can be exempt under the offshore claim. What matters is where contracts are concluded, where customers and suppliers are based and where the work is performed. The tax authority examines this closely, so the documentation has to be right from the outset.

Which annual obligations apply?

Every Hong Kong Limited files an annual return, keeps proper books, has its accounts audited by a local auditor and submits a tax return. We handle these steps for you.

Can a single person hold all roles?

Yes. One person can be shareholder and director at the same time. Only the company secretary has to be resident in Hong Kong, and we provide that role.

How long does the formation take?

The registration usually takes three to seven working days. Including the bank account you should plan for one to two weeks.

What does the formation mean for my own tax situation?

That depends on where you are taxed. Two rules matter almost everywhere: controlled foreign company provisions and the place of effective management. We check your case against both before we form anything.
